Non Performance and mis-representaion

We signed an agreement on 21 Dec 2012, to start a gym contract on 01-Jan-2013. The Gym took 3 years payment upfront, and are not keeping up their end of the deal, The gym never opens on time, they made misrepresentations about the conditions and the usability of the machines and expansion and renovation plans for the gym.

They agreed to refund the fee's, but later decided against it.
